Creator Licensing & Royalty Agreement

1. Parties to This Agreement

This Creator Licensing & Royalty Agreement ("Agreement") is between Sean Alan LaViscount, operating as MythFoundry Studio ("Platform," "we," "us," or "our"), and you, the creator ("Creator," "you," or "your"). By submitting content to the Creator Arena, you enter into this Agreement.

2. Definitions

• "Submission" means any illustration, painting, or portrait artwork you submit to the Creator Arena. Graphic design work is explicitly excluded.
• "Canon Work" means a Submission selected as an official winner and incorporated into the MythFoundry mythology
• "Net Revenue" means gross revenue minus payment processing fees, refunds, and chargebacks
• "Products" means any applications, merchandise, publications, or experiences featuring Canon Work

3. Intellectual Property Rights

3.1 Your Ownership

You retain ownership of your original Submission, including all underlying intellectual property rights. Nothing in this Agreement transfers ownership of your creative work to us.

3.2 License Grant - Pre-Selection

Upon submission, you grant us a limited, non-exclusive, royalty-free license to:

• Display your Submission in the Creator Arena gallery and voting interface
• Use your Submission for judging and evaluation purposes
• Feature your Submission in promotional materials related to the Creator Arena

This pre-selection license terminates if your Submission is not selected as Canon Work within 12 months of submission.

3.3 License Grant - Canon Selection

If your Submission is selected as Canon Work, you grant us an exclusive, worldwide, perpetual license to:

• Incorporate the work into official MythFoundry mythology and lore
• Use, reproduce, modify, and create derivative works
• Display, distribute, and sublicense the work in Products
• Use for marketing, advertising, and promotional purposes

In exchange for this exclusive license, you receive the royalty payments described in Section 5.

4. Creator Representations & Warranties

By submitting work, you represent and warrant that:

• You are the sole creator of the Submission (or have rights from all co-creators)
• The Submission is original and does not infringe any third-party rights
• The Submission was not generated by AI tools - you personally created it
• You have the legal capacity to enter into this Agreement
• No other agreements conflict with the rights granted herein
• The Submission does not contain unlawful, defamatory, or harmful content

5. Royalty & Payment Terms

5.1 Monthly Winner Payout

The Creator Arena winner receives 10% of that month's Net Revenue from paying users. This is calculated as:

5.2 Payment Processing

• Payouts are processed automatically on the 1st of each month
• Payment is made via Stripe to your registered payment method
• Minimum payout threshold: $10.00 USD (amounts below roll over)
• Payments issued within 7 business days of calculation

5.3 Future Royalties for Canon Work

If your Canon Work is used in future Products beyond the initial win:

• Physical merchandise featuring your work: 5% of net product revenue
• Digital products primarily featuring your work: 3% of net product revenue
• Marketing/promotional use: Included in initial canon selection, no additional royalty

Future royalties are tracked in your Creator Dashboard and paid quarterly.

5.4 Tax Obligations

You are solely responsible for all taxes on payments received. For U.S. creators earning $600+ annually, we may require W-9 forms. We may withhold taxes as required by law.

6. Creator Credit & Attribution

For all Canon Work, we will:

• Credit you by your chosen creator name wherever reasonably practical
• Maintain your name in our Creator Registry
• Not claim sole authorship of your contribution

We reserve the right to use Canon Work without attribution in contexts where attribution is impractical (e.g., small merchandise, UI elements, promotional thumbnails).

7. Modifications to Canon Work

Once selected as Canon, we may modify, adapt, or create derivative works from your Submission to fit the mythology, products, or user experience. These modifications do not require your approval, but we will make reasonable efforts to maintain the spirit and intent of your original work.

8. Term & Termination

8.1 Term

This Agreement begins when you submit to the Creator Arena and continues for the duration of the exclusive license (perpetual for Canon Work).

8.2 Termination by Us

We may terminate this Agreement if:

• You breach any representation or warranty
• Your work is found to infringe third-party rights
• You violate the Platform Terms of Service

8.3 Effect of Termination

Upon termination for cause, we may continue using Canon Work already integrated into Products, but no further royalties will be owed. For non-selected Submissions, all licenses terminate.

9. Indemnification

You agree to indemnify and hold harmless Sean Alan LaViscount, MythFoundry Studio, and their affiliates from any claims, damages, or expenses arising from your breach of this Agreement or any third-party claims regarding your Submission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL ROYALTIES PAID TO YOU IN THE 12 MONTHS PRECEDING ANY CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Dispute Resolution

Any disputes arising from this Agreement shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved after 30 days, subject to binding arbitration
• Governed by the laws of the United States

12. Miscellaneous

• Entire Agreement: This Agreement constitutes the entire agreement regarding Submissions
• Amendments: We may update this Agreement with 30 days notice; continued participation constitutes acceptance
• Severability: Invalid provisions shall be modified to the minimum extent necessary
• Assignment: You may not assign this Agreement; we may assign to successors
• Waiver: Failure to enforce any provision is not a waiver of rights

13. Acceptance

By submitting work to the Creator Arena, you acknowledge that you have read, understood, and agree to be bound by this Creator Licensing & Royalty Agreement. If you do not agree to these terms, do not submit work to the Creator Arena.
